Draft pending attorney review. This Terms and Conditions is a working draft dated October 29, 2026 and is being reviewed by our attorney. It describes how Simo works today; the final version may change.

Terms and Conditions

Draft dated October 29, 2026 · ADID Solutions · gosimo.ai

These Terms and Conditions (the "Terms") are an agreement between ADID Solutions ("ADID Solutions," "Simo," "we," "us" or "our") and the chiropractic practice that subscribes to Simo ("Practice" or "you"). They cover Simo, the AI assistant for chiropractic practices at gosimo.ai, including our website, web app, phone app, emails and text messages (together, the "Service").

By creating an account, checking out, or using the Service, the person signing up confirms they have authority to bind the Practice, and the Practice agrees to these Terms and to our Privacy Policy. Section 9 also sets out terms for Patients who receive text messages through Simo.

1. Key terms

  • Owner: the person who signs up the Practice and manages its plan and billing.
  • Users: the owner and the doctors and staff the Practice invites. The Practice is responsible for its Users and everything done under their logins.
  • Patients: the Practice's patients who receive a care plan link, code or text through Simo.
  • Practice Data: everything the Practice and its Users put into Simo, including the Practice Brain, Playbook documents, chats, care plans and Patient information.
  • BAA: the HIPAA Business Associate Agreement between the Practice and us.

2. Accounts and eligibility

  • Simo is for licensed chiropractic practices and their staff in the United States, for business use.
  • Each subscription covers one practice location, with unlimited staff logins for that location.
  • Keep login details private, give each person their own login, and remove Users who leave. Tell us right away at the email below if you think an account has been misused.
  • Information you give us at sign-up must be accurate and kept up to date.

3. Plans, prices and billing

Plans

  • Simo Core: $197 per month, or $1,970 per year, per location.
  • Simo OS: $497 per month, or $4,970 per year, per location. Includes everything in Simo Core plus the Simo OS services in section 6.
  • Yearly plans are priced at 10 months (2 months free). There are no setup fees and no long-term contract: plans are month to month (or year to year for yearly plans).
  • What each plan includes is described on our website and on the billing page at sign-up. We may add, change or improve features over time, without materially reducing the core features of your plan during a paid period.

Founding prices

Practices that subscribe at launch pay founding prices. Your founding price stays the same for as long as your subscription stays active without a break, even when list prices rise for new practices. If a subscription ends and you subscribe again later, the prices at that time apply.

Billing and renewal

  • You pay in advance through Stripe Checkout. Your subscription renews automatically at the end of each month or year, and Stripe charges the card on file, until you cancel.
  • Prices are in US dollars and don't include taxes, which are added where required.
  • Upgrades from Simo Core to Simo OS take effect right away: you're charged the difference for the rest of the current billing period, and the next bill is at the Simo OS price.
  • Cancel any time from Manage billing in Simo (Stripe's customer portal) or by emailing us. Cancellation takes effect at the end of the current billing period, and the Service stays available until then. Except for the money-back guarantee below, payments are non-refundable and there are no partial refunds for unused time.
  • For prices other than founding prices, we'll give at least 30 days' notice before a price change takes effect at your next renewal.

Failed payments

If a renewal payment fails, Stripe retries the card and we email the owner. Your team can keep using Simo for 7 days. After that, the Service is paused until the payment goes through. Your Practice Data is kept while the account is paused.

30-day money-back guarantee

If Simo isn't right for your Practice, email us within 30 days of your first subscription payment and we'll refund that payment and cancel the subscription. On Simo OS, the guarantee covers the subscription fee, not ad spend paid to Meta or design work quoted separately. The guarantee applies once per Practice.

4. Fair use

Each location's plan includes unlimited staff and a generous shared allowance of 4,000 requests to Simo's AI in any rolling 30 days (chat messages, builder, training and dictation requests). Most practices never reach it. If you do, we'll let you know in the app and work with you on more room. We may limit use that is automated, abusive, or far outside normal use by one practice location.

5. Costs that are separate from your plan

  • Ad spend is paid by the Practice directly to Meta, in the Practice's own ad account.
  • Card processing on Patient payments is Stripe's fee (currently about 2.9% plus 30 cents per card payment), charged by Stripe to the Practice's own Stripe account. Simo charges no platform fee on Patient payments.
  • Design work beyond what Simo OS includes is quoted per project before any work starts.

6. Simo OS services

  • Website: the Simo team builds a website for the Practice. Once it's delivered and the subscription fees for the period are paid, the Practice owns the website content and design we create for it, and keeps them if it leaves Simo OS. Third-party items (such as hosting, domain names, themes, stock images or fonts) remain subject to their own licenses and fees.
  • Meta ads: ads run in the Practice's own Meta ad account, under Meta's terms and advertising policies. Simo drafts ads to follow Meta's rules for health businesses, but the Practice approves every ad and is responsible for its content and claims. Meta decides whether ads run.
  • Smart Recall emails go to past Patients on the Practice's behalf. The Practice is responsible for having the right to contact those Patients and for honoring unsubscribe requests.
  • No guaranteed results. We don't promise any number of leads, new patients, bookings or revenue.

7. HIPAA and the Business Associate Agreement

  • We sign a BAA with each Practice. It governs how we handle the Practice's protected health information (PHI). If these Terms and the BAA conflict about PHI, the BAA controls.
  • Simo runs on HIPAA-eligible Amazon Web Services infrastructure under our own BAA with AWS.
  • Enter Patient information only in the features made for it (the Care Plan Builder, re-exams and the Patient panel), and only what's needed. General chat and team messages are not for PHI; Simo filters names and similar details out of chat.
  • The Practice is responsible for its own HIPAA obligations, including its Notice of Privacy Practices, any Patient authorizations it needs, its Users' training and access, and its own use of what Simo produces.

8. Patient care plans and payments (Stripe Connect)

  • To take Patient payments in Simo, the owner connects the Practice's own Stripe account. By connecting, the Practice agrees to Stripe's Connected Account Agreement, which includes the Stripe Services Agreement. Stripe, not Simo, provides the payment processing.
  • The Practice is the seller. Patient payments go straight to the Practice's Stripe account. The care plan, its prices, and the financial agreement the Patient signs are between the Practice and the Patient. Simo isn't a party to them and doesn't receive Patient payments.
  • Monthly plans: with the Patient's agreement, the card used for the first payment is saved on the Practice's Stripe account, and Simo charges each scheduled payment on the Practice's behalf on its due date. If a payment fails, Simo tries again up to 3 times, 3 days apart, and then tells the front desk. Canceling a signed plan in Simo stops future payments; it doesn't issue a refund.
  • Refunds, disputes and chargebacks are handled by the Practice in its own Stripe Dashboard, and are the Practice's responsibility.
  • The Practice is responsible for its prices, packages, discounts and financial agreement wording; for following the laws that apply to its payment plans and to insurance and Medicare billing (including the Medicare rules for covered services); and for reviewing every plan before it's presented. Simo's standard agreement wording is a starting point, and the Practice should have its own attorney review it.
  • Practices that collect at the front desk can have Patients sign in Simo and pay in the office, and mark those payments as paid in Simo.

9. Text message terms (SMS)

For Patients: the Simo Care Plan Messages program

  • Program: Simo Care Plan Messages. Your chiropractic office uses Simo to text you a secure link to your care plan and a one-time code that confirms it's you.
  • Opt-in: you receive texts only after you ask your office to text you. Agreeing to texts is not a condition of care or of buying anything; your office can send your plan by email instead.
  • Frequency: usually 2 messages each time your office sends a plan (the link and a code), plus a new code if you ask for one. Message frequency varies.
  • Message and data rates may apply.
  • Opt out: reply STOP to stop texts at any time. You'll get one confirmation and no further texts from that number.
  • Help: reply HELP, contact your chiropractic office, or email anthony@adidsolutions.com.
  • Carriers are not liable for delayed or undelivered messages.
  • Privacy: we don't share your mobile number or opt-in information with third parties for marketing. See the Privacy Policy.

For Practices

  • Send a text only when the Patient has asked for one, and confirm it in Simo before sending. Use the mobile number the Patient gave you.
  • Simo's texts are only for care plan links and codes. Don't use Simo to send marketing texts.
  • If a Patient replies STOP, they won't get further texts from Simo's number. Use email for that Patient instead.

10. AI output and clinical judgment

  • Simo does not practice chiropractic or medicine, and its output is not medical, legal, billing or financial advice. Every diagnosis, treatment recommendation and care plan is the treating doctor's decision.
  • AI can make mistakes. Review everything Simo produces (care plans, scripts, research summaries and citations, content and ads) before using it with Patients or the public.
  • Prices in care plans are calculated from the fee schedule and packages the Practice enters. Check that they're correct and current.
  • The Practice is responsible for making sure its marketing and Patient communications follow the rules that apply to it, including state chiropractic board rules, FTC advertising rules and platform policies.

11. Your data

  • The Practice owns its Practice Data. You give us permission to host, process and use it only to provide, secure and support the Service for you, as described in our Privacy Policy and the BAA.
  • We don't use Practice Data or PHI to train AI models, and we don't sell it.
  • We may use aggregated usage information that doesn't identify any Practice, User or Patient, and contains no PHI, to run and improve the Service.
  • You're responsible for having the rights and permissions needed to put Practice Data into Simo, including Patient information and any documents you upload.

12. Acceptable use

Don't use the Service to:

  • break any law, or send spam or messages people haven't asked for;
  • upload anything you don't have the right to share, or that contains malware;
  • try to get into other practices' data, probe or attack the Service, or get around its security, limits or PHI filter;
  • copy, resell or build a competing product from the Service, or scrape it with automated tools;
  • make claims about patient outcomes that you can't support, or impersonate anyone.

13. Our property

The Service, including its software, design, prompts, training content and the Simo name and logo, belongs to us and our licensors. While your subscription is active, we give the Practice a limited, non-transferable right for its Users to use the Service for the Practice's business. You may use the content Simo produces for your Practice (care plans, scripts, posts and ads) for your Practice's business. If you send us ideas or feedback, we may use them without owing you anything.

14. Third-party services

Simo works with services from other companies, including Amazon Web Services, Stripe, Meta and Google. Their terms apply to your use of their services, and we aren't responsible for them or for their outages.

15. Suspension, cancellation and what happens to your data

  • We may suspend or end access if a payment isn't made after the grace period, if these Terms are seriously broken, or if needed to protect the Service, Patients or the law. Where we can, we'll tell you first and give you a chance to fix it.
  • After the account ends, you can ask us within 30 days for an export of your Practice Data. After that, we return or destroy PHI as the BAA requires and delete the rest, except what we must keep by law.
  • Sections that by their nature should continue (such as payment obligations, disclaimers, limits of liability and indemnity) survive the end of these Terms.

16. Disclaimers

Except as expressly stated in these Terms, the Service is provided "as is" and "as available." To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't promise the Service will be uninterrupted or error free, or that AI output will be accurate or complete.

17. Limits of liability

To the extent the law allows: (a) neither side is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data; and (b) our total liability for all claims about the Service is limited to the amount the Practice paid us for the Service in the 12 months before the claim arose. These limits don't apply to a party's indemnity obligations, to the Practice's payment obligations, or where the law doesn't allow them.

18. Indemnity

The Practice will defend and hold us harmless from claims by third parties (including Patients and regulators) arising from the Practice's care of its Patients, its prices, payment plans and refunds, its marketing and ads, its Practice Data, texts or emails sent at its request, or its breach of these Terms or the law.

19. Governing law and disputes

These Terms are governed by the laws of the State of Nebraska, without regard to its conflict of law rules. Any dispute will be brought in the state or federal courts located in Douglas County, Nebraska, and both sides agree to those courts' jurisdiction. Before filing a claim, each side agrees to try to resolve the dispute informally by email for at least 30 days.

20. General

  • Changes to these Terms: we may update these Terms. We'll post the new version here with a new date and, for material changes, notify the owner by email or in the app at least 30 days before they take effect. Continuing to use the Service after that means the Practice accepts them.
  • Notices: we send notices to the owner's email address. Send notices to us at the email below.
  • Entire agreement: these Terms, the Privacy Policy, the BAA and any order or quote we agree in writing are the whole agreement about the Service.
  • Other terms: if a part of these Terms can't be enforced, the rest still applies. Not enforcing a term isn't a waiver. You may not transfer these Terms without our written consent; we may transfer them in a merger or sale of our business. Neither side is responsible for delays caused by events beyond its reasonable control.
